SECTION 1.2

Description of the concentration

On 1 December 2021, the European Commission received notification of a proposed concentration pursuant to Article 4 of the EU Merger Regulation, concerning the proposed acquisition by funds advised by Blackstone Inc. (“Blackstone”) of sole control within the meaning of Article 3(1)(b) of the EU Merger Regulation of Interplex Holdings Pte. Ltd. (“Interplex”) (the “Parties”) (the “Proposed Transaction”).

The Proposed Transaction was signed on 24 September 2021, on which date the Parties entered into a Share Purchase Agreement.
