SECTION 1.2
Description of the concentration
1.1. The proposed concentration consists in the acquisition by INEOS of certain assets of Celanese's European n-Butyl Acetate ("BuAc") Business, which includes the existing European BuAc commercial relationships that will enable INEOS to continue supplying Celanese's current BuAc customers after completion. The acquisition does not include Celanese's BuAc production assets located in Frankfurt. Those will be shut down.
2.2. INEOS Europe AG ("INEOS") is a business unit which is part of the wider INEOS Group, headquartered in Rolle, Switzerland. INEOS Group is a global manufacturer of petrochemicals, specialty chemicals and oil products. INEOS produces, inter alia, BuAc and Butanol.
3.3. The assets of Celanese's European n-Butyl Acetate Business ("CBB") are part of Celanese Corporation, which is active in the production and distribution of BuAc.
