SECTION 1.2

Description of the concentration

1.Nordic Capital Fund VI (Jersey) has submitted a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004, according to which it intends to acquire, within the meaning of Article 3(1)(b) of the Regulation, sole control of ICA Meny AB, a Swedish company, by way of purchase of shares.

The business activities of the undertakings concerned are:

• ICA Meny is a wholesale supplier of a broad range of daily consumer goods including food and beverages to various types of customers. ICA Menyís customers mainly comprise hotel chains, restaurants and institutional customers. ICA Menyís product range includes some restaurant equipment e.g. to restaurants and canteens. ICA Meny also delivers a broad range of products to retail outlets such as petrol station shops, traditional convenience stores, kiosks and fast food outlets.

• Nordic Capital Fund VI is active in private equity investments in large and medium-sized companies, predominantly in the Nordic region. Its portfolio companies (and those of Nordic Capital Funds III-V) are active in diverse areas, mainly in northern Europe. None of Nordic Capitalís portfolio companiesí activities overlap with those of ICA Meny AB, except that there is a vertical relationship with Leaf, a company which is controlled by Nordic Capital Fund V jointly with another private equity fund.
