SECTION 1.2

Description of the concentration

On 28 December 2021, the European Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No. 139/2004 (the "Merger Regulation"). ENGIE España Renovables, S.L. ("ENGIE Spain"), a company wholly owned by GDF International S.A.S., which is ultimately controlled by ENGIE, S.A. ("ENGIE"); and Predica Prévoyance Dialogue du Crédit Agricole S.A. ("Predica"), which is part of Groupe Crédit Agricole ("GCA”), will acquire joint control within the meaning of Article 3(1)(b) of the EUMR over Eolia Renovables de Inversiones, Sociedad de Capital Riesgo, S.A. ("Eolia"), a Spanish company currently solely controlled by Alberta Investment Management Corporation (“AIMCo”).

The Proposed Transaction will be implemented by way of the purchase of shares by Ordesa Servicios Empresariales, S.L., a special purpose vehicle jointly controlled by ENGIE Spain and Predica.

The business activities of the undertakings concerned by the notified concentration are as follows:

• ENGIE Spain is a company wholly owned by GDF International S.A.S., which is ultimately controlled by ENGIE, a global energy player active in the fields of natural gas, electricity and energy services.

• Predica is a life and health insurance company and a wholly owned subsidiary of Crédit Agricole Assurances S.A. (“CAA”), both part of GCA. GCA is a cooperative financial institution offering in particular retail banking, corporate banking, investment banking, private banking, wealth management, asset management and insurance services.

• Eolia is an independent generator of power from renewable sources engaged in the development, construction and operation of wind farms and solar photovoltaic facilities in Spain.

The Proposed Transaction concerns the electricity sector in Spain.
