SECTION 4

Description of the concentration

This notification concerns the following undertakings:

a. AustralianSuper Pty Ltd as trustee of AustralianSuper ("AustralianSuper"), Australia;

b. DigitalBridge Group, Inc. (“DigitalBridge”), United States;

c. Swiss Life Holdings A.G. (“Swiss Life”), Switzerland; and

d. DataBank Upper Parent Holdings IV, L.P. (“Target” or “DBUPH”), United States.

On 28 October 2024, AustralianSuper notified to the Commission its intention to acquire indirect joint control of Target, within the meaning of Article 3(1)(b) and 3(4) of Council Regulation (EC) No 139/2004. Target is currently jointly controlled by DigitalBridge and Swiss Life. Post-Transaction, Target will be jointly controlled by AustralianSuper, DigitalBridge and Swiss Life.

The concentration will be accomplished by way of acquisition of shares.

The business activities of the undertakings concerned are as follows:

a. AustralianSuper, headquartered in Melbourne, is an Australian industry public offer superannuation and pension fund established under the Superannuation Industry (Supervision) Act 1993 (Commonwealth).

b. DigitalBridge is a dedicated, global-scale digital infrastructure investment firm headquartered in the USA and listed on the New York Stock Exchange.

c. Swiss Life is a provider of comprehensive life, pensions and financial solutions with its registered office located in Zurich, Switzerland.

d. Target, established in the United States, indirectly owns and operates a portfolio of data centres focused on the United States.
