SECTION 1.2
Description of the concentration
1.On 7 September 2018, the European Commission received a notification of a proposed
concentration pursuant to which Cinven7 , through its controlled portfolio company
Viridium Holding AG (Viridium), would acquire sole control over the insurance
company Generali Lebensversicherung AG (Target).
2.Cinven is a private equity business engaged in the provision of investment
management and investment advisory services to a number of investment funds.
Cinven controls a number of portfolio companies which are active in a variety of
sectors across a range of jurisdictions. Cinven is present in the German life insurance
sector through its controlling interest in Viridium.
3.The Target is an insurance company licensed for and primarily active in the provision
of life insurance products in Germany.
