SECTION 1.2

Description of the concentration

1.1. The European Commission received a notification of a proposed transaction pursuant to Article 4 of the EU Merger Regulation by which NEC Corporation (“NEC”) and Sumitomo Mitsui Banking Corporation (“SMBC”) will acquire joint control, within the meaning of Article 3(4) of the EU Merger Regulation, of brees Corporation (“brees”), a full-function joint venture.

2.2. NEC is a technology group providing equipment and IT solutions to the public and private sectors. SMBC is active in commercial financial services. The joint venture, brees, will be active in Japan only, and will provide services relating to payments in Japanese convenience stores.
