On 26 October 2021, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (the Merger Regulation) which will confer on CK Asset Holdings Limited (CKA) and CK Infrastructure Holdings Limited (CKI) (together with Power Assets Holdings (PAH)) joint control over UK Power Networks Holdings Limited (UKPN) within the meaning of Article 3(1)(b) of the Merger Regulation.
The business activities of the undertakings concerned are:
a) For CKA: property development and investment, hotel and serviced suite operation, property and project management, aircraft leasing, pub operation and investment in infrastructure and utility asset operation.
b) For CKI: development, investment and operation of infrastructure businesses. CKI has a stake in PAH which is a global investor in energy and utility-related businesses.
c) For UKPN: distribution of electric power.
There are no reportable markets and the turnover of, and total value of assets transferred to, UKPN is less than EUR 100 million in the EEA. UKPN currently has and following the Proposed Concentration will have no assets or turnover in the EEA. Accordingly, the transaction qualifies for simplified treatment in accordance with the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004.
