SECTION 1.2

Description of the concentration

This notification concerns the following undertakings:

(a) Carlsberg UK Holdings Limited (“CUK”), an indirectly wholly-owned subsidiary of Carlsberg A/S (“Carlsberg”), a company incorporated in Denmark.

(b) Britvic PLC (“Britvic”) a UK-headquartered publicly listed company.

CUK will acquire sole control of the whole of Britvic within the meaning of Article 3(1)(b) of the EU Merger Regulation. The concentration will be accomplished by means of a scheme of arrangement under Part 26 of the UK Companies Act 2006.

The business activities of the undertakings concerned are:

(a) CUK: CUK is an indirectly-wholly owned subsidiary of Carlsberg. Carlsberg is one of the world's leading brewery groups. Carlsberg’s beer portfolio accounts for more than 140 brands, which spans core beer brands, craft & speciality and alcohol-free brews.

(b) Britvic: Britvic is a UK-headquartered manufacturer and supplier of soft drinks, across a number of categories including carbonated soft drinks, energy drinks, ready-to-drink teas, juices and nectars and dilutables.
