SECTION 1.2

Description of the concentration

Archer Daniels Midland ("ADM"), via its indirectly owned subsidiary ADM Hamburg Aktiengesellschaft, Hamburg ("ADM Hamburg"), and ATR Landhandel GmbH & Co. KG, Ratzeburg ("ATR") propose to acquire joint control over the newly founded RGL (Rostocker Getreide Lager) GmbH, Rostock ("RGL"). As part of this transaction, ADM Hamburg has contributed to the prospective JV RGL the entire business of its silo facility located in the deep-sea port of Rostock.

ADM, a U.S. public company incorporated in the state of Delaware and listed on the New York and Frankfurt stock exchanges, is the ultimate parent company of the ADM Group. ADM is a major processor of oilseeds, corn, wheat, cocoa and other agricultural commodities and is a major manufacturer of vegetable oil, protein meal, corn sweeteners, flour, biodiesel, ethanol and other value added food and feed ingredients. ADM also has a global grain elevator and transportation network to procure, store, clean and transport agricultural commodities such as oilseeds, corn, wheat, milo, oats and barley as well as processed agricultural commodities. ADM conducts business in over 160 countries on six continents and has approximately 30,000 employees worldwide.

ATR, a German private company with its head offices in Ratzeburg, is active in the origination and trading of agricultural products such as grains and oilseeds, as well as in the sale of agricultural supplies such as seeds, fertilizers, pesticides and animal feed compound.

The joint venture RGL will continue to operate a silo for the storage and handling of agricultural goods in the Rostock seaport. The proposed transaction relates to the business of storage and handling of agricultural commodities in the Rostock seaport. RGL will offer its storage and handling services in the market.
