Description of the concentration
On 25 September 2024, the European Commission (the “Commission”) received notification of the creation of a full-function joint venture between Electricité de France S.A. (“EDF”) (via its wholly owned subsidiary EDF Renouvelables International S.A.S), Abu Dhabi Future Energy Company PJSC – Masdar (“Masdar”) and Nesma Company Limited (“Nesma”) within the meaning of Article 3(4) of the Merger Regulation. The joint venture will operate a solar project and engage in electric power generation, transmission, distribution and sales in Saudi Arabia.
The business activities of EDF, Masdar and Nesma are as follows:
• EDF was established on 8 April 1946 in France, and is mainly active in electricity production and wholesale, trading, and supply, as well as in the provision of other electricity-related services and energy services.
• Masdar is incorporated in the United Arab Emirates and is a renewable energy and sustainability company that advances solutions in energy, water, urban development and clean technologies in the UAE and around the world.
• Nesma was established in 1999 in Saudi Arabia. Nesma has a business portfolio across multiple sectors mainly in Saudi Arabia and a presence in the UAE and Egypt. Nesma specializes in diverse fields such as engineering, construction, electro-mechanical, infrastructure, oil and gas, and hospitality.
