SECTION 1.2

Description of the concentration

HAL Investments B.V. and Egeria Capital B.V. intend to acquire joint control, within the meaning of Article 3.1 (b) of Regulation 139/2004, over N.V. Nationale Borg-Maatschappij.

The operation consists of the acquisition of all shares by Grachtenheer 7 B.V, a company set up for the purpose of the joint acquisition.

The business activities of the target company relate to the issuing of bonds and guarantees, to the underwriting of theft and fraud insurance and the reinsurance services for these risks, as well as credit insurance. Neither HAL Investments B.V. and Egeria Capital B.V. control companies which operate in the same sectors. The companies controlled by HAL Investments B.V. and Egeria Capital B.V. operate in various industrial sectors, none of which overlap with or which are upstream or downstream to the activities of N.V. Nationale Borg-Maatschappij.
