1.On 29 September 2008 the Commission received a notification of a proposed concentration within the meaning of Article 4 of the Merger Regulation by which the Goldman Sachs Private Equity Holding L.P. ("GSPEH"), controlled by Goldman Sachs Group Inc ("Goldman Sachs", USA) will acquire within the meaning of Article 3(1) (b) control over Appliances Components Companies S.p.A. ("ACC", Italy), Bianchi Vending Group S.p.A. ("Bianchi", Italy), Finder S.p.A. ("Finder", Italy) and the group of companies controlled by each of them (collectively "the Target Companies") by way of a purchase of shares.
The business activities of the undertakings concerned are:
-- for Goldman Sachs: investment banking and securities;

-- for ACC: manufacture of motors for the wet industry (washing machines, dryers and dishwashers) and compressors for commercial and household refrigerators undertaking;
-- for Bianchi: manufacture of vending machines;
-- for Finder: manufacture of industrial pumps and filters.
2.After examination of the notification, the Commission has concluded that the notified operation falls within the scope of Council Regulation (EC) No. 139/2004 and of paragraph 5, subparagraph c, of the Commission Notice on a simplified procedure for treatment of certain
concentrations under Council Regulation (EC) No. 139/2004.
For the reasons set out in the Notice on a simplified procedure, the Commission has decided not to oppose the notified operation and to declare it compatible with the common market and with the EEA Agreement. This decision is adopted in application of Article 6(1)(b) of Council Regulation (EC) No. 139/2004.
