SECTION 1.2
Description of the concentration
1.On September 11, 2014, funds controlled by CCMP Capital, LLC (“CCMP”) agreed to acquire by way of purchase of shares, joint control (within the meaning of Article 3(1)(b) EUMR) of PQ Holdings Inc. (“PQ”), currently jointly controlled by INEOS Group Limited (“INEOS”) and funds managed by affiliates of The Carlyle Group L.P. The business activities of the undertakings concerned are:
-− CCMP: global private equity firm;
-− INEOS: global manufacturer of petrochemicals, specialty chemicals and oil products;
-− PQ: manufacturer of specialty inorganic chemicals, catalysts, engineered glass materials and adsorbents.
