SECTION 1.2

Description of the concentration

1.1. This notification concerns the proposed indirect acquisition by PETRONAS Chemicals Group Berhad of the entire share capital of, and thereby sole control over, PERSTORP HOLDING AB (publ.) and its subsidiaries. The Transaction constitutes a concentration pursuant to Article 3(1)(b) of the EUMR.

2.2. PETRONAS Chemicals Group Berhad is a subsidiary of the group ultimately controlled by Petroliam Nasional Berhad, engaged primarily in manufacturing and selling a diversified range of petrochemical products such as olefins, polymers, fertilizers, methanol, and other basic chemicals and derivative products.

3.3. PERSTORP HOLDING AB (publ.) is a company headquartered in Malmö (Sweden), which serves as the top holding company for the Perstorp group of companies. It is a chemical provider, with a focus on providing sustainable solutions for customers in the resins and coatings, engineered fluids and animal nutrition industries. PERSTORP HOLDING AB (publ.) is globally present with seven production plants in Europe, North America and Asia.
