SECTION 1.2

Description of the concentration

On 3 August 2020, the European Commission received a notification of a proposed concentration pursuant to Art 4 of Council Regulation (EC) No 139/2004 following which Hayfin will acquire sole control over the Frans Bonhomme Group within the meaning of Article 3(1)(b) of the ECMR.

The business activities of the undertakings concerned are:

− Hayfin: an alternative asset management firm which focuses on delivering risk-adjusted returns for its investors across five strategies: direct lending, special opportunities, high-yield credit, structured credit, and private equity funds. Hayfin operates in Europe (it has offices in London, Paris, Madrid, Milan, Frankfurt, Luxembourg, and Tel Aviv), and has an office in the United States (New York). Hayfin is controlled by British Columbia Investment Management Corporation (“BCI”); and

− The Frans Bonhomme Group: a group active in the distribution of system solutions (materials for the construction of water, sanitation, rainwater systems, etc.) and pipes for public works and construction professionals through 412 sales outlets in France and 22 in Spain, the group employs 2 850 employees and currently has three operating subsidiaries: Frans Bonhomme, DMTP and Frans Bonhomme España.
