SECTION 1.2

Description of the concentration

The notified concentration consists of the acquisition by Parkwind and Summit Renewable Energy Belwind 1 (“Summit”) of joint control over Belwind. Belwind is currently under sole control of Parkwind.

Parkwind is an investment and development vehicle of the Korys/Colruyt Group and PMV. Parkwind currently holds stakes in two offshore wind farm operators, Belwind and Northwind.

Korys is the investment vehicle of the Colruyt family and stands at the head of the Korys/Colruyt Group. The principal activity of that group is retail of daily consumer goods, but it also has other activities, e.g. the retail sale of motor vehicle fuel.

PMV is an independent investment company controlled by the Flemish regional government. PMV holds a minority stake in Parkwind.

Summit was set up as an SPV for the purposes of the concentration and is a wholly owned indirect subsidiary of Sumitomo Corporation. The latter is an integrated trading company which provides a comprehensive range of goods and services in Japan and around the world. Its activities include metal products, transportation and construction systems, environment and infrastructure, media, networks and lifestyle related goods and services, and mineral resources, energy, chemicals and electronics.

Belwind holds a domain concession and the necessary licenses to operate an offshore wind farm of minimum 330 MW in the Belgian Exclusive Economic Zone in the North Sea. Phase I of the Belwind wind farm (55 turbines of 3 MW, i.e. 165 MW) has been operational since 2011. One further 6 MW turbine is, according to the latest contractor’s programme, expected to be operational by the end of October 2013. Phase II is at the planning stage and will take Belwind’s installed capacity to a minimum of 330 MW.

The parties submit that the simplified procedure applies and that there are no reportable markets.
