SECTION 1.2

Description of the concentration

1.1. The European Commission received notification of a proposed concentration pursuant to Article 4 of the EC Merger Regulation by which Siemens and MHI intend to create a joint venture in the metal plant building sector. The joint venture will be a full function joint venture within the meaning of Articles Article 3(1)(b) and 3(4) of the EC Merger Regulation.

2.2. Siemens is a German stock corporation which offers a wide range of products and services to customers in four business sectors: Energy, Healthcare, Industry and Infrastructure & Cities. Siemens is active in the metal plant building industry through its business unit Siemens MT.

3.3. MHI is headquartered in Tokyo and is active as a heavy machinery manufacturer, with a diverse line of products and services which encompasses shipbuilding, power plants, chemical plants, environmental equipment, steel structures, industrial and general machinery, aircraft, space systems; and air-conditioning systems. MHI is active in the metal plant building industry through MHMM.
