SECTION 1.2

Description of the concentration

The contemplated Transaction consists in the creation of a jointly controlled joint venture which will be active on the markets for the provisions of a DLT-based registrar and for DLT-based settlement services for SMEs with respect to equities. Following the Transaction, the joint venture will perform on a lasting basis all the functions of an autonomous economic entity.

The parties involved in the contemplated Transaction are the following: • BNP Paribas Securities Services, • CACEIS Investor Services, • Caisse des Dépôts et Consignations, • Euroclear SA/NV, • Euronext NV, • S2IEM - Société d’Investissements en Infrastructures Européennes de Marchés, and • Société Générale SA.

The contemplated Transaction will not raise any competition concerns on any of the relevant markets.
