On 16.05.2023, Liberty Global PLC (“Liberty Global”), Mediahuis NV (“Mediahuis”) and NRJ Group SA (“NRJ Group”) notified to the European Commission a proposed concentration pursuant to Article 3(1)(b) and Article 4 of Council Regulation 139/2004 of 20 January 2004 on the control of concentrations between undertakings, by which Liberty Global, through its subsidiary Telenet Group NV (“Telenet”), will acquire joint control over Vlaanderen Eén NV (“Vlaanderen Eén”). Vlaanderen Eén is a commercial broadcaster operating Nostalgie Vlaanderen, a Dutch language commercial radio channel with access to FM-frequencies enabling it to cover the entire territory of the Flemish community in Belgium. Vlaanderen Eén is currently jointly controlled by Mediahuis (50%) and Nostalgie SA (50%). The latter is a joint venture between Mediahuis and Radio Nostalgie SAS; a subsidiary of the French NRJ Group.
Following the notified concentration, Liberty Global, will acquire from Mediahuis 20% of the shares in Vlaanderen Eén. As a result, Vlaanderen Eén will be jointly controlled by Nostalgie SA (50%), Mediahuis (30%) and Liberty Global (20%).

Telenet’s primary activity consists of the provision of broadband internet, fixed telephony, mobile communications and audiovisual services to customers throughout Flanders, parts of Brussels and a few municipalities in Wallonia. In addition, Telenet serves the business market in Belgium and Luxembourg with connectivity, hosting and security solutions. Telenet is also the parent company of TV broadcaster Play Media (channels PLAY4, PLAY5, PLAY6 and PLAY7) and a number of AV production companies. It is also the parent of Eltrona, a provider of electronic communications services in Luxemburg.
Mediahuis, incorporated in Belgium, is one of the leading media groups in Belgium, the Netherlands, Ireland, Luxembourg and Germany. Its news titles include De Standaard, Het Nieuwsblad/De Gentenaar, Gazet van Antwerpen and Het Belang van Limburg in Belgium. In addition to these news brands, Mediahuis also operates a number of digital marketplaces in Belgium, the Netherlands, Luxembourg and Ireland, mainly in the real estate, employment and automotive markets. Mediahuis is jointly controlled by Mediahuis Partners NV (49,7%), Concentra NV (29,79%), VP Exploitatie NV (14,03%).
