SECTION 4

Description of the concentration

This notification relates to the proposed acquisition of sole control, within the meaning of Article 3(1) of the EUMR, over certain entities controlled by Kohler Co. (“Kohler”), constituting its energy business ("Kohler Energy”) by funds controlled, managed and/or advised by Platinum Equity Group23 (the “Proposed Transaction”).

On 17 November 2023, Discovery Energy Holdings, L.P., an exempted limited partnership organized under the laws of the Cayman Islands (“Discovery Energy Holdings”) solely owned by Platinum Equity Group, and a number of its wholly owned subsidiaries, entered into an Equity Purchase Agreement (“EPA”) with Kohler and a number of its indirect subsidiaries (together with Kohler, the “Sellers”), pursuant to which the Sellers shall sell 100% of the shares and voting rights of Kohler Energy (the “Equity Interests”), and Discovery Energy Holdings shall purchase and own, directly or indirectly, 100% of the Equity Interests.

As part of the Proposed Transaction, Kohler will roll over as a minority non-controlling investor of Discovery Energy Holdings. However, Kohler will not retain any veto rights over commercially strategic decisions of Discovery Energy Holdings or Kohler Energy, such as approval or amendment of Discovery Energy Holdings’ annual budget or business plan, and/or the appointment/dismissal of senior management. Therefore, after completion of the Proposed Transaction, Platinum Equity Group will have sole control over Kohler Energy.
