Description of the concentration

The Parties

UniCredit S.p.A. (together with all controlled entities “UniCredit”) is a joint stock company (società per azioni), organised and operating under the laws of Italy, having its registered seat in Milan, Italy. UniCredit UniCredit is an Italian banking group providing banking and financial services in Italy and worldwide.

Alpha Bank Romania S.A. (together with all controlled entities the “Target”, and together with UniCredit, the “Parties”) is a Romanian joint stock company, with its registered office in Bucharest, Romania. Alpha Bank Romania is indirectly solely controlled by Alpha Services and Holdings S.A., a Greek holding company listed on the Main Market of the Athens Stock Exchange.

Description of the transaction

UniCredit and Alpha Services and Holdings S.A. have concluded the Amended and Restated Term Sheet (“TS”) setting out the terms of the proposed transaction, through which UniCredit will acquire the majority of the shares and voting rights and sole control over Alpha Bank Romania within the meaning of Article 3(1)(b) of the EUMR from Alpha Services and Holdings S.A. (the “Transaction”).

Business activities of the undertakings concerned

a. UniCredit is an authorised credit institution and provides various banking and financial services in the European Union, such as retail and corporate banking, financial market services and other financial services.

b. Alpha Bank Romania is an authorised credit institution and provides various banking and financial services in the Romania, such as retail and corporate banking, financial market services and other financial services.
