SECTION 1.2

Description of the concentration

Fujitsu Siemens Computers (Holding) B.V. (hereinafter ìFSCî) is going to acquire the business division Product Related Services (hereinafter ìPRSî) from Siemens Business Services GmbH & Co. OHG (hereinafter ìSBSî). FSC is a joint venture of Fujitsu Limited (hereinafter ìFujitsuî) and Siemens Aktiengesellschaft (hereinafter ìSiemensî) each with a 50% share. SBS is a 100% subsidiary of Siemens. FSC offers a wide range of IT hardware and software products with specific corresponding services. SBS provides the full chain of IT services, covering everything from consulting and system integration through the management of IT infrastructures. Its business division PRS supplies a broad range of product-related services, in particular IT hardware maintenance. Therefore the acquisition will affect the markets for IT services. Siemens intends to focus its business activities on its core business and has therefore decided to divest the PRS business of SBS. FSC intends to enlarge its service offering to its customers in the field of IT services.
