SECTION 1.2

Description of the concentration

1.1. The Transaction involves the proposed acquisition by Platinum Equity Group ("Platinum") of sole control of Multi-Color Corporation ("MCC") within the meaning of Article 3(1)(b) of Council Regulation (EC) No 139/2004.

2.2. Platinum specialises in the merger, acquisition and operation of companies that provide services and solutions to customers in a broad range of businesses, including information technology, telecommunications, logistics, metal services, manufacturing and distribution.

3.3. MCC is a public company (NASDAQ: LABL) headquartered in Cincinnati, Ohio, USA. MCC is active in the manufacture and supply of labels across a range of sectors, including: home and personal care; food and beverage; healthcare; specialty; consumer durables; and wine and spirits. MCC has operations at 71 locations across 27 countries and has over 8,000 employees.
