SECTION 4

Description of the concentration

This notification concerns the following undertakings:

-- EP UK Investments Limited ("EPUKI"), incorporated in the United Kingdom, ultimately controlled by Mr Daniel Křetínský ("DK");

-- TotalEnergies Gas & Power Holdings UK Limited ("TTE"), incorporated in the United Kingdom, ultimately controlled by TotalEnergies SE ("TE Group"); and

-- West Burton Flexible Generation Limited (the "Target"), incorporated in the United Kingdom, controlled by TTE.

The proposed concentration involves EPUKI's acquisition of 50% shares of the Target from TTE, the current owner of the Target, within the meaning of Article 3(1)(b) in connection with Article 3(4) of the Merger Regulation. The Target will operate as a full-function joint venture on a long-lasting basis.

The business activities of the undertakings concerned are:

-- for EPUKI:

-- generation and wholesale supply of electricity in the UK;

-- provision of balancing and ancillary services in the UK;

-- financial electricity trading in the UK;

-- retail supply of gas in the UK;

- DK further controls various entities active in various business areas, including energy, media, book publishing, infrastructure, delivery services, e-commerce, food wholesale and retail, wholesale and retail of electronics and other non-food products and video gaming, and others.

-- for TTE:

-- generation and wholesale supply of electricity in the UK;

-- retail supply of electricity in the UK;

-- financial electricity trading in the UK;

-- downstream wholesale supply of gas in the UK;

-- retail supply of gas in the UK;

-- gas trading on a hub in the UK;

TTE is part of the TE Group, a global multi-energy group that produces and markets energies in all levels and sectors of the oil and gas industry and is active in renewable energies, power generation and carbon neutral activities.
