SECTION 1.2

Description of the concentration

1.On 29 July 2010, the Commission received a notification of a concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 by which EnBW Energie Baden-Württemberg AG (EnBW), jointly controlled by EdF S.A. and OEW, acquires a sole control over Pražská energetika, a.s. (PRE) within the meaning of Article 3(1)(b). PRE is currently controlled jointly by EnBW and the City of Prague through a holding company Pražská energetika Holding a.s.

The business activities of the Parties to the concentration in the EEA are:

(a) for EnBW: the generation and wholesale supply of electricity, provision of ancillary services, provision of heat and maintenance and repair of technology equipment in the energy sector;

(b) for PRE: the retail supply of electricity, distribution of electricity, installation and repairing of electrical machinery and instruments, repairing, reviewing, testing and assembling of selected electrical equipment and sales of measuring equipment.

The effects of the concentration are limited to the Czech Republic.

The Concentration qualifies for the treatment under the Simplified Procedure pursuant to point 1.1 of Annex II of the Commission Regulation (EC) No 802/2004 of 7 April 2004 implementing Council Regulation (EC) No 139/2004 on the control of concentration between undertakings.
