SECTION 1.2

Description of the concentration

1.1. The notification relates to the proposed acquisition of joint control within the meaning of Article 3(1)(b) of Regulation (EC) No 139/2004 by Zen-Noh Grain Brasil Holdings Ltda. (ZGB), Louis Dreyfus Company Brasil S.A. (LDCB), and Amaggi Exportação e Importação Ltda. (AEI) of Amaggi & LDC Holding S.A. (the JV).

2.2. ZGB. ZGB belongs to the group of companies owned by Zen-Noh, a federation of agricultural cooperatives in Japan active in the marketing of agricultural and livestock products produced by its members.

3.3. LDCB. LDCB is part of the LDC group, a global company active in the production, processing and trading of various agricultural commodities and metals worldwide.

4.4. AEI. AEI is part of the group of companies owned by the Maggi family (altogether, Amaggi). The Amaggi group operates in various sectors, including the production, origination, processing and marketing of agricultural commodities; as well as energy and fluvial transport.

5.5. JV. The JV is primarily engaged in the origination and commercialization of soybeans and corn produced in the Matopiba region of Brazil. In the EEA, the JV is only active in the wholesale of soybeans.
