SECTION 1.2

Description of the concentration

TSR Recycling GmbH & Co. KG, Germany and TSR Recycling Holding GmbH, Germany (together “TSR”) wholly-owned by Remondis and ultimately the Rethmann group of companies intend to acquire 100% of the shares in and sole control over Mirec B.V., Netherlands, Sims M+R GmbH, Germany, Sims Recycling Solutions AB, Sweden, and Sims Recycling Solutions Austrian Holdings GmbH, Austria, (together the “Target Companies”) which all currently belong to the Sims group of companies, with the ultimate parent company Sims Metal Management Limited, USA, within the meaning of Article 3(1)(b) of Council Regulation 139/2004.

TSR is active in trading and processing secondary raw material (mainly scrap) for steel producers and the foundry industry. TSR collects, stores and processes metal, including ferrous and non-ferrous metal scrap, and to a limited extent electronic scrap. Moreover, TSR offers waste disposal services and environmental services. TSR is operating a logistics network and recycling facilities in Germany and across Europe (146 locations: among others, Düsseldorf, Munich, Berlin, Hamburg, and Amsterdam), with focus on Germany, the Netherlands and the Czech Republic.

The Target Companies operate facilities in Bergkamen (Germany), Eindhoven (Netherlands), Katrineholm (Sweden), Mullendorf (Austria) and Sint Niklaas (Belgium). They are mainly active in the field of electronic recycling services and processing of metal mixtures from different recycling processes
