Description of the concentration

The Transaction concerns the proposed acquisition of sole control by Air Canada of Transat.

Air Canada is a global provider of scheduled passenger services in the Canadian market, the Canada-U.S. transborder market and in the international market to and from Canada. Air Canada was established in 1937 and post-privatization incorporated under the Canada Business Corporations Act ("CBCA") on August 25, 1988. Air Canada's head office is located at 7373 Côte-Vertu Boulevard West, Saint-Laurent, Québec, H4S 1Z3, Canada.

Transat is an international tour/holiday travel company, which operates and markets its services in the Americas and Europe. It develops and markets holiday travel services in packages, including air travel and hotel stays, and air-only formats. Transat was incorporated under the CBCA on February 13, 1987. Transat's head office is located at Place du Parc, 300 Léo-Pariseau Street, Suite 600, Montréal, Québec, H2X 4C2, Canada.
