SECTION 4

Description of the concentration

On 30 November 2023, CEVA Logistics (“CEVA”), a French company, wholly owned subsidiary of the CMA CGM Group (“CMA CGM”), and Fnac Darty, a French company, notified to the Commission a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004, whereby they intend to set up a full-function joint venture, mainly active in France, which will offer to e-sellers active on marketplaces a new advanced fulfilment technology to organize the logistics of their marketplace orders and, at a later stage, a new e-commerce marketplace software solution.

CEVA is active at world level in freight forwarding and contract logistics services. In the EEA, CEVA Logistics is active in Austria, Belgium, Croatia, the Czech Republic, Finland, France, Germany, Greece, Hungary, Ireland, Italy, Latvia, Lithuania, Luxembourg, the Netherlands, Poland, Portugal, Romania, Slovakia, Spain, and Sweden.

Fnac Darty is active in the omnichannel retail distribution of technical products, household appliances and cultural goods and services, through its two main brands Fnac and Darty. Fnac Darty distributes its products and services through physical stores but also online, through Fnac’s website (www.fnac.com) and Darty’s website (www.darty.com) which integrate their respective marketplaces. Fnac Darty operates principally in the EEA, and more precisely in France, Belgium, Spain, and Portugal.
