SECTION 1.2

Description of the concentration

The proposed concentration concerns the change from sole control by Fnac Darty Participations et Services SA (“Fnac Darty”) over France Billet SAS (“France Billet”) to joint control over the latter by Fnac Darty and CTS Eventim AG & Co. KGaA (“CTS Eventim”) within the meaning of Article 3(1), point (b) and Article 3(4) of the Merger Regulation by way of purchase of shares.

CTS Eventim is a Germany-based company operating in two sectors: (i) the event ticketing sector and (ii) the live entertainment sector, where its subsidiaries plan, prepare and perform tours and events, in particular concerts and musical events, and market musical productions.

Fnac Darty is a fully owned subsidiary of Fnac Darty SA, which is the parent company of the Fnac Darty group. Fnac Darty SA is a listed company on the Euronext Paris stock exchange. Operating directly or indirectly in 12 countries, including France, Belgium, Spain and Portugal, Fnac Darty group is a European retailer of cultural and leisure goods, consumer electronics and household appliances.

France Billet is a French company active in the ticketing market (predominantly) in France, where it offers around 60,000 shows and events per year through a multi-channel and multi-banner distribution network. France Billet has the following subsidiaries: Tick&Live SAS, CTS Eventim France SAS, 123Billets SAS and Belgium Ticket SPRL
