SECTION 4

Description of the concentration

On 20 March 2024, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (the “EUMR”), which would confer on CK Infrastructure Holdings Limited (“CKI”) and CK Asset Holdings Limited (“CKA”) indirect joint control over Phoenix Energy Holdings Limited and its subsidiaries (together “Phoenix Energy”) within the meaning of Article 3(1)(b) of the EUMR. The proposed concentration is accomplished by way of purchase of shares of Lionrai Investments No.1 Ltd.

The business activities of the undertakings concerned are:

•• CKI is a limited liability company incorporated in Bermuda and is listed on the main board of The Stock Exchange of Hong Kong Limited. CKI is a global infrastructure company with diversified investments in energy infrastructure, transportation infrastructure, water infrastructure, waste management, waste-to-energy, household infrastructure and infrastructure related businesses. CKI forms part of the CK Hutchison Group, and is majority owned by CK Hutchison Holdings Limited (“CKHH”) which is listed on the main board of The Stock Exchange of Hong Kong Limited.

•• CKA is a limited liability company incorporated in the Cayman Islands, which is registered in Hong Kong and is listed on the main board of The Stock Exchange of Hong Kong Limited. CKA is a multinational conglomerate that has diverse capabilities with business activities presently encompassing property development and investment, hotel and serviced suite operation, property and project management, pub operation and investment in infrastructure and utility asset operation.

•• Phoenix Energy is a UK-based utility, which owns and operates the gas distribution network in the Greater Belfast, Larne, East Down and Whitehead areas of Northern Ireland It provides gas availability to over 350,000 properties, with over 250,000 customers connected to the network.
