Vodafone Italia S.p.A. (“Vodafone Italia”) and Telecom Italia S.p.A (“Telecom Italia” and together with Vodafone Italia, the “Parties”) are intending to enter into a joint venture agreement to combine Vodafone’s passive mobile telecommunications infrastructure (“passive infrastructure”) with the assets currently held by Infrastructure Wireless Italiane S.p.A (“INWIT”). Currently, INWIT is solely controlled by Telecom Italia and owns and operates Telecom Italia’s passive infrastructure. Post-transaction the Parties will hold joint control over INWIT.
