SECTION 1.2

Description of the concentration

On 5 October 2022, the European Commission received notification of a proposed concentration pursuant to Article 4 of the Merger Regulation by which ALD (France) acquires within the meaning of Article 3(1)(b) of the Merger Regulation sole control over LP Group B.V.(the Netherlands), by the way of purchase of shares in exchange for a combination of cash and shares of ALD.

ALD is the holding company of the ALD group (“ALD”), a France-headquartered group providing mobility solutions, mainly vehicle leasing and related management services. It is held at 79,82% and solely controlled by Société Générale S.A (France), the holding company of the Société Générale group, a banking and financial services group headquartered in Paris.

LP Group B.V. is the holding company of LeasePlan Corporation N.V (“LeasePlan”), a Netherlands-based fleet management and driver mobility company. LeasePlan’s main business is in the sector of vehicle leasing and related management services.

The main markets involved are the markets for fleet leasing and management services in which both ALD and LeasePlan are active in several EEA Member States.
