Description of the concentration

This notification concerns

• TotalEnergies S.E., France, and

• AWS Energie GmbH, Germany, its subsidiary Quadra Energy GmbH, Germany, and Quadra Energy GmbH's subsidiary ENERCON Erneuerbare Energien GmbH (together, the "Target").

TotalEnergies S.E. intends to indirectly (through TotalEnergies Renewables Deutschland GmbH) acquire, within the meaning of Art. 3(1)(b) of Council Regulation (EC) No 139/2004, sole control of the Target by means of an acquisition of the entire share capital of AWS Energie GmbH.

The business activities of the undertakings concerned are:

• TotalEnergies S.E. is an international integrated broad energy company. With operations in more than 130 countries, TotalEnergies S.E. is engaged in every sector of the oil and gas industry, including both upstream markets (hydrocarbon exploration, development and production) and downstream markets (refining, petrochemicals, specialty chemicals, trading and shipping of crude oil and petroleum products and marketing). TotalEnergies S.E. is also involved in the renewable energy, power generation sectors and carbon neutrality businesses (energy efficiency, carbon capture usage and storage, hydrogen and nature-based solutions).

• The Target is active in the renewable energy business, mainly through trading of green electricity supplied in Germany.
