This Notification concerns the combination of the European bottling operations of Coca-Cola Enterprises Inc. (“CCE”) with two bottlers currently owned by The Coca-Cola Company (“TCCC”): Coca-Cola Drycker Sverige AB (“CCDS”) active in Sweden; and Coca-Cola Drikker AS (“CCD”) active in Norway. The acquisition of CCDS and CCD is part of a restructuring of CCE. Upon the completion of restructuring of CCE, TCCC will own the North American Business of CCE, and New CCE will own CCE’s European bottling operations, as well as CCDS and CCD. TCCC will not hold any shares directly or indirectly in New CCE.
The Coca-Cola Company, a publicly listed company with its headquarters in Atlanta, Georgia (USA), is a brand owner and supplier of commercial beverage essences, bases, concentrates, and syrups that it sells to licensed bottlers around the world. In many territories, including the majority of European countries, TCCC has authorized independent bottlers to prepare, package, distribute and sell TCCC-branded commercial beverages. In certain other countries TCCC owns and controls the local bottling companies.
Coca-Cola Enterprises Inc. is a publicly listed company with its headquarters in Atlanta, Georgia (USA) that is active in the preparation, packaging, distribution and sale of TCCC and other brand owners’ beverage brands in the US and Canada, as well as in Europe in Belgium, France, Luxembourg, Monaco, the Netherlands and Great Britain. CCE achieves approximately 70% of its revenues in North America. TCCC currently holds approximately 35% of the shares in CCE.
The concentration will not give rise to any horizontal or vertical affected markets as there is no geographic overlap between the European bottling operations of CCE, CCDS and CCD.
