SECTION 1.2
Description of the concentration
1.1. The notified concentration consists in the acquisition, by Total SA, through its indirect wholly-owned subsidiary Total Gas & Power USA S.A.S, of a controlling stake in SunPower Corporation by means of a cash tender offer, announced on 28 April 2011.
2.2. Total SA is active in the fields of natural gas and oil production, refining and marketing of oil products, petrochemicals and speciality chemicals. Currently, Total SA is only marginally present in the photovoltaic sector.
3.3. SunPower Corporation is a US-based company listed on the Nasdaq stock exchange and active in the design, manufacturing and supply of solar cells, modules and systems, on a worldwide basis.
