Description of the concentration

This notification concerns the proposed acquisition of joint control, within the meaning of Articles 3(1)(b) and 3(4) of the Merger Regulation, of Sustainable Market Solutions B.V. and ACT FS Holding B.V. (together: ACT) and their subsidiaries by an entity ultimate controlled by Bridgepoint and ACT's founders and current majority shareholders.

The Bridgepoint Group is the global leader in middle market private assets investing, with six distinct investment strategies across private equity and private credit and a platform across Europe, North America and Asia.

ACT was founded in 2009 and is a provider of market based sustainable energy solutions. ACT offers a comprehensive service portfolio of over 70 products to both buying and sourcing side customers. The product offering relates to environmental compliance services, corporate sustainability, fuels and feedstock, and financial instruments.
