Description of the concentration

1.On 28 April 2017, the Commission received the notification of a proposed

concentration pursuant to Article 4 of Council Regulation Council Regulation (EC) No. 139/2004 of 20 January 2004 on the control of concentrations between

2.undertakings (“EUMR”), by which Shanghai Shenda Co., Ltd. (“Shanghai Shenda” and, together with its affiliates, “Shanghai Shenda Group”) will, through its wholly owned subsidiary Shenda Investment UK Limited, within the meaning of Article 3(l)(b) EUMR indirectly acquire sole control over substantially all of the current group-wide soft trim and acoustics (“ST&A”) operations of International Automotive Components Group S.A (the “IAC ST&A Business”).

3.Shanghai Shenda is a company involved in the trade of textiles and the manufacture of

industrial textiles. Shanghai Shenda is listed on the Shanghai Stock Exchange. It operates four business divisions: (i) the Import and Export Trade Division; (ii) the New Textile Material Division; (iii) the Real Estate Management Division; and (iv) the Automotive Interior Division.

The IAC ST&A Business comprises the production and supply of a range of ST&A

products encompassing floor systems, acoustics products and soft trim products.
