SECTION 1.2

Description of the concentration

1.1. This transaction concerns the proposed combination of IMS Health Holdings, Inc. (“IMS Health”) and Quintiles Transnational Holdings Inc. (“Quintiles”).

2.2. IMS Health is a publicly listed global information and technology services company that provides healthcare companies with solutions to measure and improve their performance. Quintiles is a publicly listed global provider of product development services and commercial outsourcing services to support healthcare companies develop and commercialize new therapies.

3.3. The Transaction combines complementary businesses to create a new company that will offer a broad range of information, technology, and services to support healthcare customers in researching, developing, and commercializing their products.
