SECTION 4

Description of the concentration

This notification concerns the following undertakings:

• ABN AMRO Bank N.V. (“ABN AMRO”): ABN AMRO is an international financial institution headquartered in the Netherlands. ABN AMRO is active in retail banking (including private banking), corporate banking, investment banking and offers brokerage, clearing and custody services.

• Hauck Aufhäuser Lampe Privatbank AG (“HAL”, together with ABN AMRO the “Parties”): HAL is a private bank headquartered in Germany. HAL is active in the areas of private and corporate banking, investment banking and asset management for liquid and illiquid assets, as well as asset servicing. HAL is currently ultimately controlled by PRC-based Fosun International Limited.

ABN AMRO acquires, within the meaning of Article 3(1), point (b) of the Merger Regulation, sole control of HAL. The concentration is accomplished by way of purchase of shares (the “Transaction”).

For the avoidance of doubt, ABN AMRO will acquire only selected parts of HAL’s Asset Servicing Business, which will otherwise be carved out prior to the Transaction and remain with HAL’s current shareholders.
