SECTION 1.2

Description of the concentration

L’opération notifiée consiste en la création concomitante de deux entreprises communes, au sens de l’article 3 (4) du Règlement n°139/2004 du 20 janvier 2004, entre la société Veolia Cargo (groupe Veolia Transport) et la société Rail Link (groupe CMA-CGM) : une entreprise commune ayant une activité de traction ferroviaire de fret, l’autre entreprise commune ayant une activité de commercialisation de transport combiné (rail-route). L’opération s’inscrit dans le contexte de la libéralisation du secteur du transport ferroviaire en Europe. Elle vise à créer un nouvel acteur dans le domaine du transport terrestre de marchandises. Cette opération ne donnera lieu à aucune addition de parts de marché. Dans ces conditions, les parties considèrent qu’elle ne soulève pas de problème de concurrence
