Description of the concentration

On 16 November 2020, the European Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (the “EU Merger Regulation”), concerning the proposed acquisition of shares in and sole de facto control (for the purposes of the EU Merger Regulation) over Venator Materials PLC (“Venator”) by funds managed by SK Capital Investment V, Ltd. an affiliate of SK Capital Partners, LP (“SKCP”) (the “Transaction”). SKCP is a private investment firm focused on the specialty materials, chemicals and pharmaceuticals sectors. SKCP was founded in 2010 and is based in New York, USA, with an additional office in Miami, Florida, USA.

Venator is a producer of titanium dioxide for use in various end applications and is also active in the production of performance additives (e.g., inorganic colour pigments and functional additives, as well as timber treatment and water treatment products).
