Dear Sir or Madam,

(1) On 25 October 2024, the European Commission received notification of a proposed concentration pursuant to Article 4 of the Merger Regulation, and following a referral pursuant to Article 4(5) of the Merger Regulation, by which the undertakings NEVEON Holding GmbH (“Neveon”, Austria) controlled by Greiner AG (Austria), and Brantner Österreich GmbH (“Brantner”, Austria) controlled by Brantner Gruppe GmbH (Austria), will acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control of the greenfield joint venture “JV” by way of 3purchase of shares in a newly created company constituting a joint venture. ()

(2) The business activities of the undertakings concerned are the following:

– Neveon is a global supplier of plastic and foam solutions, active in numerous sectors such as food and non-food packaging, mattresses, acoustic solutions, analytic and laboratory/medical equipment, and in supplying components for industries (e.g., upholstered furniture, aviation and automotive), and

With effect from 1 December 2009, the Treaty on the Functioning of the European Union (‘TFEU’) has introduced certain changes, such as the replacement of ‘Community’ by ‘Union’ and ‘common market’ by ‘internal market’. – Brantner Österreich is active in waste management (e.g., the collection, treatment and disposal of waste of all kinds), in logistic services and real estate activities.

(3) The business activities of the JV will be the setting up and operation of a recycling plant for the recycling of end-of-life mattresses in Austria

(4) After examination of the notification, the European Commission has concluded that the notified operation falls within the scope of the Merger Regulation and of paragraph 5(b) of the Commission Notice on a simplified treatment for certain 4concentrations under Council Regulation (EC) No 139/2004. ()

(5) For the reasons set out in the Notice on a simplified treatment, the European Commission has decided not to oppose the notified operation and to declare it compatible with the internal market and with the EEA Agreement. This decision is adopted in application of Article 6(1)(b) of the Merger Regulation and Article 57 of the EEA Agreement.
