SECTION 1.2

Description of the concentration

1.The notified concentration is the acquisition by Amcor Limited (“Amcor”) of Bemis Company, Inc. (“Bemis”).

2.Pursuant to a Transaction Agreement dated 6 August 2018, by and among Amcor, Arctic Jersey Limited (“New Holdco”), Arctic Corp. (“Merger Sub”), and Bemis, Amcor and Bemis will combine through a merger of Amcor and Bemis into New Holdco, a newly created holding company incorporated in Jersey (the “Transaction”). The Transaction will be implemented via (i) a scheme of arrangement under Australian law, whereby each outstanding share of Amcor will be exchanged for one share of New Holdco and (ii) a merger, wherein Merger Sub, a wholly owned subsidiary of New Holdco, will merge with and into Bemis, with Bemis surviving as a wholly owned subsidiary of New Holdco.

3.Amcor is a global supplier of packaging solutions, supplying a broad range of rigid and flexible packaging products into the food, beverage, medical, pharmaceutical, personal care and other fast moving consumer goods sectors (hereafter, FMCG sectors). Amcor operates around 195 sites in over 40 countries, with approximately 33,000 employees. Its corporate headquarters is in Zurich, Switzerland and its head office in Melbourne, Australia.

4.Bemis is a supplier of flexible and rigid plastic packaging used by leading food, consumer products, medical and other companies worldwide. Founded in 1858 and headquartered in Neenah, Wisconsin, Bemis employs approximately 16,000 individuals worldwide.

5.In the EEA, the Transaction concerns flexible packaging. This involves the conversion and printing of plastic and cellulose films, aluminium foils and papers, which are used separately or in combination to produce packaging products for a wide variety of end uses.
