The notification relates to a foreign to foreign non-EU transaction. In particular, the proposed transaction consists of the incorporation by Ivanhoe Cambridge (through Ivanhoe India Equities Inc.) and QuadReal Property Group (through its affiliates BCIMC International Real Estate (2004) Investment Corporation and BCIMC (WCBAF) Realpool Global Investment Corporation (hereinafter, the “two Investors” or the “controlling shareholders”) of Logos India Logistics Venture Pte Ltd a Singapore Company (the “Company” or the “JV”). The controlling shareholders of the joint venture will be Ivanhoe Cambridge (through Ivanhoe India Equities Inc. and QuadReal Property Group (through its affiliates BCIMC International Real Estate (2004) Investment Corporation and BCIMC (WCBAF) Realpool Global Investment Corporation (the “QR Investors”)) The JV will invest via Indian SPVs in real estate projects in India, particularly in logistics parks.

In fact, Caisse de dépôt et placement du Québec holds around 93% of the ordinary share capital and exercises sole control over Ivanhoe. QuadReal Property Group is a global real estate investor and a wholly owned subsidiary of British Columbia Investment Management Corporation, a corporation incorporated in British Columbia, Canada which invests on behalf of public sector clients in British Columbia.
