SECTION 1.2

Description of the concentration

STEAG GmbH intends to acquire indirectly – through the acquisition vehicle Steag 1. Beteiligungs-GmbH – a 26% stake in and joint control over Arenales Solar PS, S.L. ("Arenales") from Solar Millennium AG following the opening of the insolvency proceedings over Solar Millennium AG in February 2012. Further shareholders of Arenales are OHL Industrial , S.L. which holds a stake of 25% and Fronterasol B.V. with a stake of 49%

Arenales develops and promotes the construction of a concentrated solar power plant located in Morón de la Frontera, Sevilla (Spain) with a peak capacity of 49,9 MWb and 184,000,000 KWh annual generation (the "Arenales Plant"). Construction of the Arenales Plant has commenced in August 2011. It is foreseen that the plant becomes operational before January 2014.
