SECTION 1.2

Description of the concentration

1.On 3 March 2021, the European Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 involving the acquisition of sole control within the meaning of Article 3(1)(b) of the Merger Regulation by Kingspan Holding Netherlands B.V., of the whole of the undertaking Trimo, arhitekturne rešitve, d.o.o. by way of purchase of shares.

The business activities of the undertakings concerned are set out below:

-• Kingspan Holding Netherlands is a wholly owned subsidiary of Kingspan Group plc. Kingspan Group’s principal activities comprise the manufacture of sandwich panels, insulation, light & air solutions, water & energy and data & flooring technology. Kingspan Group has manufacturing and distribution operations throughout Europe, the Far East and the Americas, and is currently operating in over 70 countries.

-• Trimo is mainly active in the production and supply of mineral fibre sandwich panels.
