SECTION 1.2

Description of the concentration

The proposed concentration relates to the creation of a joint venture by Metal One Corporation ("Metal One") and Mitsui & Co. Steel Ltd. ("MBS"). Metal One is controlled by Mitsubishi Corporation and MBS is controlled by Mitsui & Co. Ltd.

The joint venture will integrate five wholly-owned subsidiaries of Metal One and two subsidiaries of MBS. Following the concentration, Metal One Mitsui Bussan Resource & Structural Steel Corporation, ("MOMBR & SSC") will constitute a full-function joint venture within the meaning of Article 3(4) of the EUMR.

The companies to be contributed to the joint venture are active in the distribution of steel products for construction use and the trading of steel waste and scrap in Japan, and certain ancillary businesses. MOMBR & SSC will likewise be active primarily in the distribution and wholesale of carbon and stainless steel products for construction use and the trade of steel waste and scrap in Japan.
