SECTION 4

Description of the concentration

The acquisition concerns the indirect acquisition of joint control within the meaning of Article 3(1)(b) of the Merger Regulation of Hargreaves Lansdown plc, the listed parent entity of the Hargreaves Lansdown group of companies (“Hargreaves Lansdown”) by affiliates of Nordic Capital XI, Limited (“Nordic Capital XI”), funds or vehicles controlled by affiliates of CVC Capital Partners plc (“CVC”), and Platinum Ivy B 2018 RSC Limited (“Platinum Ivy”) (the “Acquisition”).

It is intended that the Acquisition will be implemented by way of a Court-sanctioned scheme of arrangement.

Nordic Capital XI is an affiliate of Nordic Capital, organised under the laws of Jersey. Nordic Capital is a private equity firm which through its funds invests in large and medium sized companies.

CVC is a public limited company whose shares are listed and admitted to trading on the Euronext Amsterdam Stock Exchange. CVC, and certain of its subsidiaries from time to time, provide investment advice and/ or manage investments on behalf of certain funds and investment vehicles (the “CVC Funds”). The CVC Funds hold interests in a number of companies active in a variety of industries around the world, including in financial services, chemicals, utilities, manufacturing, retailing and distribution, in Europe, the US and the Asia, Pacific region.

Platinum Ivy is a restricted scope company incorporated in the Abu Dhabi Global Market. Platinum Ivy makes investments into the private equities asset class across various geographies, including the European Union. Platinum Ivy is indirectly a wholly owned subsidiary of Abu Dhabi Investment Authority.
